Please read these terms carefully before using Strait App. By using our platform, you agree to be bound by these terms.
These Terms and Conditions ("Terms") govern your use of the Strait App platform, operated by DEFCON STATE OF MUSIC ENTERPRISE LIMITED, a company registered in Uganda. By creating an account or using our services, you accept these Terms in full.
By downloading, registering, or using the Strait App mobile application or website ("Platform"), you agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines or policies we publish. If you do not agree to these terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you ("User") and DEFCON STATE OF MUSIC ENTERPRISE LIMITED ("Company", "we", "us", or "our"), a company registered in Kampala, Uganda.
Strait App is a conditional payment platform that allows users to send and receive money in Uganda Shillings (UGX) subject to specific, user-defined conditions. Our core services include:

To use Strait App, you must:
We reserve the right to refuse service, close accounts, or limit access to users who do not meet these requirements or who violate these Terms.
To access Strait App's features, you must create an account by providing your full name, phone number, email address, and any other information we require for identity verification. You agree that all information you provide is accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your login credentials (PIN, password, or biometric access). You must not share your credentials with any third party. You agree to notify us immediately at support@straitapp.com if you suspect any unauthorized access to your account.
We may require identity verification (KYC — Know Your Customer) at any stage of your account lifecycle in compliance with Uganda's Anti-Money Laundering Act and Bank of Uganda regulations. Failure to complete verification may result in restricted access to certain features.
The Strait Wallet is an e-money wallet that holds funds in escrow on your behalf. Funds in your wallet are not bank deposits and are not covered by the Deposit Protection Fund of Uganda. However, all user funds are held in a segregated trust account with a regulated financial institution.
You may top up your Strait Wallet via Mobile Money (MTN Mobile Money, Airtel Money) or bank transfer. Minimum and maximum top-up amounts may apply and are communicated within the application.
You may withdraw available (non-escrowed) funds to your linked Mobile Money account or bank account at any time during business hours. Withdrawal limits may apply based on your verification level. We are not liable for delays caused by third-party payment providers.
Your wallet displays three balance types: (a) Available Balance — funds free to send or withdraw; (b) Locked in Escrow — funds you have sent with conditions attached; (c) Pending Receipt — conditional funds sent to you awaiting condition verification.
A conditional payment is a transaction where funds are held in escrow until one or more user-defined conditions are verified. By initiating a conditional payment, you agree to the following:
The Transport Money feature allows senders to pay drivers or transport operators with GPS location and/or time-based conditions attached to the payment.
A payment may be conditioned on the recipient's device GPS being within a user-specified radius of a defined coordinate. GPS accuracy is subject to device hardware and network availability. Strait App is not responsible for GPS inaccuracies caused by device limitations, network outages, or interference.
A payment may be conditioned on the recipient being in the defined location before or at a specified time. If the time window expires without condition fulfillment, the sender may initiate a reversal.
If the transport condition is not met, the sender may tap "Request Reversal." Reversed funds are returned to the sender's Available Balance within the timeframe specified in the app. Strait App does not guarantee reversal if the recipient has already fulfilled the condition.
The Goods Payment feature allows buyers to pay for goods while retaining the right to inspect the items before funds are permanently released to the seller.
Upon delivery, the buyer is granted an inspection window (as set within the app, typically 24 hours) to verify that goods match the agreed description. If the buyer does not take any action within the inspection window, funds are automatically released to the seller.
If the buyer confirms receipt and satisfaction, funds are immediately released to the seller's wallet and the transaction is closed.
If the buyer is not satisfied, they may request a reversal within the inspection window. A reversal request initiates a dispute process (see Section 10). Strait App does not automatically reverse funds without reviewing evidence from both parties.
The buyer is responsible for accurately describing the inspection basis and for initiating the reversal request within the window. The seller is responsible for delivering goods as described. Neither party should engage in fraudulent misrepresentation; doing so may result in account suspension.
The Services Payment feature allows clients and service providers to structure payment releases around agreed project milestones.
Clients may fund the full service amount into escrow at the outset, with individual installments tied to completion of defined milestones agreed between both parties.
The client releases each milestone payment upon reviewing the service provider's evidence of completion (photos, reports, or other deliverables submitted through the app). Strait App is not responsible for evaluating the quality of work.
If a client disputes the completion of a milestone, they may raise a formal dispute (see Section 10) before releasing or reversing that payment installment.
Either party to a conditional transaction may file a dispute through the Strait App platform if they believe the other party has not fulfilled their obligations. Disputes must be raised within the time window specified in the app for the relevant transaction type.
Both parties will be prompted to submit evidence (photos, messages, receipts, or other documentation) within 48 hours of the dispute being filed. Failure to submit evidence may be taken into account by the reviewing team.
Strait App's independent dispute team will review all submitted evidence and issue a binding decision within 72 hours of evidence submission. The decision of the dispute team is final and binding on both parties, and funds will be released in accordance with that decision.
Strait App's dispute process is available only for transactions made through the Platform. We do not arbitrate disputes arising from transactions conducted outside the Platform.
Any party found to have submitted fraudulent evidence or to have acted in bad faith during a dispute process may have their account permanently suspended and may be reported to relevant law enforcement authorities in Uganda.
Strait App may charge fees for certain transactions and services. All applicable fees will be clearly disclosed within the application before you confirm any transaction. Fees are subject to change; we will provide at least 14 days' notice of any fee changes via in-app notification or email.
We do not charge hidden fees. Any third-party charges (e.g., Mobile Money operator fees) are not within our control and will be clearly indicated where applicable.
You agree not to use Strait App for any of the following:
Violation of any prohibited activity may result in immediate account suspension, forfeiture of escrowed funds (where fraud is determined), and referral to law enforcement.
All content on the Strait App platform, including but not limited to the app design, logo, graphics, text, software code, and trademarks, is the exclusive property of DEFCON STATE OF MUSIC ENTERPRISE LIMITED and is protected under Ugandan intellectual property law.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written consent.
To the maximum extent permitted by Ugandan law, DEFCON STATE OF MUSIC ENTERPRISE LIMITED shall not be liable for:
Our total liability to you in connection with any claim shall not exceed the amount of the transaction that gave rise to the claim, or UGX 500,000, whichever is lower.
Nothing in these Terms excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation by us.
You agree to indemnify, defend, and hold harmless DEFCON STATE OF MUSIC ENTERPRISE LIMITED, its directors, employees, agents, and partners from and against any claims, damages, losses, costs, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any fraudulent or illegal activity you engage in through the Platform.
We reserve the right to suspend or permanently close your account at any time without notice if we believe you have violated these Terms, engaged in fraudulent activity, or if we are required to do so by law or regulation.
You may close your account at any time by contacting us at support@straitapp.com. Account closure will not affect any in-progress transactions or disputes, which will be resolved according to these Terms.
Upon account closure, any available balance (not locked in escrow) will be refunded to your linked mobile money account within 5–10 business days.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute arising out of or in connection with these Terms that cannot be resolved through Strait App's dispute process shall be subject to the exclusive jurisdiction of the courts of Kampala, Uganda.
We may update these Terms from time to time to reflect changes in our services, technology, or legal requirements. When we make material changes, we will notify you via in-app notification and/or email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
